1. Introduction and Platform Purpose

Gyani ("the Bot"), a Telegram bot created by Vertigo Options ("we," "us," "our," "the Company"), is a tutoring platform designed to help students. This Partner Portal ("the Platform") is exclusively designed for individuals who refer students to our tutoring services ("Partners"). These Terms and Conditions ("Terms") govern your access to and use of the Partner Portal, including its website, content, services, and features.

By accessing or using our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Platform.

2. Eligibility and User Accounts

2.1. Eligibility: The Platform is exclusively available to individuals who are at least 18 years old. You represent and warrant that you possess the legal authority to enter into these Terms.

2.2. Account Creation: To access the Platform, you must create an account using your Google credentials. You agree to provide accurate, current, and complete information during registration and to keep this information updated.

2.3. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3. Referral Program and Commissions

3.1. Referral Structure: As a Partner, you may refer students to our tutoring services through Gyani. Commission rates and payment structures will be clearly displayed in your Partner dashboard.

3.2. Commission Eligibility: Commissions are only earned for verified, legitimate student referrals. We reserve the right to verify all referrals before approving commission payments.

3.3. Payment Processing: Payments will be processed through the UPI ID you provide. Payment schedules and minimum payout thresholds will be specified in the Partner dashboard.

4. Partner Responsibilities

4.1. Accurate Information: You agree to provide truthful and accurate information about yourself.

4.2. Referral Activities: As a Partner, your role is solely to refer students to our tutoring services. No formal educational qualifications are required.

4.3. Compliance: You agree to comply with all applicable laws and regulations when using our Platform.

4.4. Prohibited Activities: You shall not:

• Engage in deceptive or misleading practices to generate referrals
• Use the Platform to distribute unauthorized or illegal content
• Attempt to manipulate the referral system
• Access or attempt to access other users' accounts

5. Intellectual Property

5.1. Platform Content: All content, features, and functionality of the Platform and Gyani, including but not limited to text, graphics, logos, icons, images, audio, video, and software, are owned by Vertigo Options and are protected by copyright, trademark, and other intellectual property laws.

5.2. Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose.

5.3. Restrictions: You shall not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Platform without our prior written consent.

6. Limitation of Liability

6.1. Disclaimer: The Platform is provided on an "as is" and "as available" basis. We make no warranties or representations about the accuracy, reliability, or availability of the Platform.

6.2. Limitation: In no event shall Vertigo Options be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.

6.3. Cap on Liability: Our total liability for any claims under these Terms shall not exceed the amount paid by you to us in the six months preceding the claim.

7. Account Termination

7.1. Termination by You: You may terminate your account at any time by sending an email to the address provided in the "Contact Us" section.

7.2. Termination by Us: We reserve the right to suspend or terminate your account for any reason, including violation of these Terms, engaging in fraudulent activities, or prolonged inactivity.

7.3. Effect of Termination: Upon termination, your right to access and use the Platform will cease immediately. Earned but unpaid commissions will be processed according to our payment schedule.

8. Changes to Terms

8.1. Modifications: We may modify these Terms at any time. We will notify you of material changes through the Platform or via email.

8.2. Continued Use: Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms.

9. Governing Law and Dispute Resolution

9.1. Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

9.2. Dispute Resolution: Any dispute arising out of or relating to these Terms shall first be resolved through good faith negotiations. If negotiations fail, the dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India.

10. Formal Contract Requirement

10.1. Partner Agreement: You acknowledge that these Terms serve as preliminary agreement, and a formal Partner Agreement must be signed following registration before you can receive commission payments.

10.2. Precedence: In case of any conflict between these Terms and the Partner Agreement, the Partner Agreement shall prevail.
